Terms of Service

1. Agreement to Terms
By installing, accessing, or using the Seedr application (“the App”) from the Shopify App Store, you (“Merchant,” “you”) agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not install or use the App.
These Terms constitute a legal agreement between you and INFLUXX IO LLC (“we,” “us,” “our”), the developer of Seedr.
2. Description of Service
Seedr is a Shopify application that lets merchants run a creator (affiliate) program. The App provides:
- Creator accounts, with a signup and dashboard portal carrying your store’s name
- One code per creator, which works both as their referral link and as a discount code at your checkout
- Referral tracking through links, discount codes and UTM parameters
- Commission calculation, a hold period you choose, and reversal of a commission when its order is refunded or cancelled
- A record of the payouts you have made, and a reconciliation report against Shopify’s own orders
- Sending products to creators as seeds, using Shopify draft orders
- Reporting on clicks, attributed orders and commissions
- Importing an existing program from a CSV file
The App records payouts. It does not send money to your creators, and there is no longer any part of it that can: you pay them yourself, by whatever means you already use. An earlier version could send batches through PayPal, and section 9 says what became of that.
The App operates as an embedded Shopify application and requires an active Shopify store to function.
3. Account and Registration
3.1 Merchant Accounts
- You must have a valid Shopify store to use the App
- You are responsible for maintaining the security of your Shopify account
- You must provide accurate and complete information
- You are responsible for all activity that occurs under your account
3.2 Affiliate Accounts
- Merchants are responsible for managing their affiliate relationships
- Merchants must ensure their affiliate programs comply with applicable laws, including FTC endorsement guidelines
- Affiliate account data is managed by the merchant; we act as a data processor on the merchant’s behalf
4. Plans and Pricing
4.1 Available Plans
- Base ($29/month): Up to 100 active creators and 20 product seeds a month, with tracking, the creator portal, refund protection and the hold period included
- Full ($79/month): Unlimited creators and seeding, plus CSV migration, the reconciliation report and manual sale entry
4.2 Billing
- Subscription fees are billed monthly through Shopify’s billing system
- All charges appear on your Shopify invoice
- Prices are in USD unless otherwise stated
- We reserve the right to change pricing with 30 days’ notice. A price change applies to new subscriptions; the price you subscribed at is recorded against your subscription and does not change underneath you.
4.3 Free Trial
- Both plans include a 14-day free trial
- If you do not cancel before the trial ends, you will be automatically charged
- Trial terms will be clearly communicated at the time of activation
4.4 Refunds
- We do not offer refunds for partial billing periods
- If you believe you were charged in error, contact us within 14 days at support@getseedr.app
5. Acceptable Use
You agree not to use the App to:
- Violate any applicable law, regulation, or third-party rights
- Run fraudulent or deceptive affiliate programs
- Distribute malware, spam, or malicious content through affiliate links
- Attempt to access other merchants’ data or creator programs
- Reverse engineer, decompile, or disassemble the App
- Use the App for any purpose other than running a legitimate creator program
- Send more requests to the App’s endpoints than its published rate limits allow, or call the endpoints reserved for the App’s own scheduled jobs
- Resell or sublicense access to the App
Violation of these terms may result in immediate suspension or termination of your account.
6. Merchant Responsibilities
As a merchant using Seedr, you are responsible for:
- Compliance: Ensuring your affiliate program complies with all applicable laws, including FTC guidelines, GDPR, CAN-SPAM, and local advertising regulations
- Affiliate Agreements: Establishing clear terms between you and your affiliates
- Tax Obligations: Handling all tax reporting requirements related to affiliate commissions (e.g., 1099 forms in the US)
- Payment Obligations: Fulfilling commission payments to your affiliates as configured in the App
- Content Moderation: Monitoring how affiliates promote your products
7. Intellectual Property
7.1 Our IP
The App, including its code, design, features, and documentation, is owned by INFLUXX IO LLC and protected by copyright and other intellectual property laws.
7.2 Your Content
You retain ownership of your store data, affiliate program configurations, and any content you upload. By uploading content, you grant us a limited license to display and process it as necessary to operate the App.
7.3 Feedback
Any feedback, suggestions, or ideas you provide about the App may be used by us without obligation to you.
8. Data and Privacy
- Our collection and use of data is governed by our Privacy Policy, which describes exactly what is stored and for how long
- We act as a data processor on behalf of merchants for creator data
- We comply with Shopify’s API Terms of Service and data protection requirements
- Data is encrypted in transit and at rest, creator passwords are stored as bcrypt hashes, and each store’s data is queried under its own store id
9. Third-Party Services
These are every third party the App sends data to. Each is governed by its own terms.
- Shopify: the platform the App runs on and reads your orders, products and discounts from
- Render: where the App and its database are hosted, in the United States
- Resend: delivers the emails the App sends to your creators
- Google reCAPTCHA: only if you switch it on in Settings and supply your own keys. It runs on your creator signup form and sends the visitor’s browser information to Google.
- PayPal: no longer used. An earlier version of the App could send payout batches through PayPal, and PayPal received the creator’s PayPal email address and the amount. That was switched off and the App sends nothing to PayPal. If your store saved PayPal credentials while it worked, they are still in our database, unread; write to support@getseedr.app and we will clear them.
We are not responsible for the availability, accuracy, or practices of third-party services.
10. Service Availability
- We strive for 99.9% uptime but do not guarantee uninterrupted service
- We may perform scheduled maintenance with reasonable notice
- We are not liable for downtime caused by Shopify platform issues, third-party services, or force majeure events
- If the App is down for more than 24 hours, write to us and we will credit that part of the month, on either plan
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- The App is provided “as is” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption.
- Our total liability for any claim arising from or related to the App shall not exceed the amount you paid us in the 12 months preceding the claim.
- We are not liable for commissions, payouts, or financial obligations between merchants and their affiliates.
12. Indemnification
You agree to indemnify and hold harmless INFLUXX IO LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:
- Your use of the App
- Your affiliate program’s operation
- Your violation of these Terms
- Your violation of any third-party rights
13. Termination
13.1 By You
- You may uninstall the App at any time through your Shopify admin
- Uninstallation cancels your subscription at the end of the current billing period
- Your store’s data is kept for 30 days after you uninstall and is then deleted by a daily job: your creators, their codes, your commission history and the App’s copy of your Shopify access token. Reinstalling inside those 30 days brings all of it back. After that it is gone and cannot be recovered.
13.2 By Us
- We may suspend or terminate your access if you violate these Terms
- We may discontinue the App with 90 days’ notice to active subscribers
- In case of termination for cause, no refund will be issued
13.3 Effect of Termination
Upon termination:
- Your access to the App ceases immediately
- Anything you owe your creators remains yours to pay; the App has only ever recorded it
- Export your creator list and commission history as CSV from the admin before you uninstall. If you have already uninstalled, ask us inside the 30 days above and we will send it to you.
14. Modifications to Terms
We may modify these Terms at any time. Material changes will be communicated via in-app notification and email. Continued use after changes take effect constitutes acceptance. If you disagree, your sole remedy is to uninstall the App.
15. Governing Law and Disputes
- These Terms are governed by the laws of the State of Arizona, United States
- Any disputes shall be resolved through binding arbitration in Maricopa County, Arizona
- You waive any right to participate in a class action lawsuit or class arbitration
16. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and INFLUXX IO LLC regarding the App
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect
- Waiver: Failure to enforce any right does not constitute a waiver of that right
- Assignment: You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets
